This agreement will terminate immediately without notice from Alexion if in Alexions sole discretion you fail to comply with any term or provision of this Agreement. Upon termination, you must destroy all materials obtained from this Site and any and all other Alexion Site(s) and all copies thereof, whether made under the terms of this agreement or otherwise. Alexion reserves the right to alter or delete material from these Sites at any time and may, at any time, revise the terms of this Agreement by updating this posting. You are bound by any such revision and should therefore periodically visit this page to review the then current terms of this Agreement. Severability

HOW WE COLLECT PERSONAL DATA

We collect Personal Data in a variety of ways, including:

  • Directly from you, such as through an online webform, when you register for an event, when you enroll in our Alexion programs, when you collaborate with us for research, when you submit a job application, when we communicate with each other, or when you otherwise provide us with your information (e.g., provide a business card).
  • From third parties, such as HCPs, patients, references and referral sources, patient advocacy groups, study sites, and data aggregators and management systems.
  • From public sources, such as public databases (e.g., public transparency reporting records), public websites and search results, and publicly available social media pages (e.g., LinkedIn).
  • Automatically, such as through cookies or other technologies that provide us with information about your use of our online services.
 

THE TYPES OF PERSONAL DATA WE PROCESS

The types of Personal Data we collect, access, disclose, store, use, or otherwise process (“process”) include:

  • Identifiers and contact information, such as name, address, email address, phone number, date of birth, and other similar identifiers and contact information.
  • Health and medical information, such as diseases, symptoms, complications, therapies, medications, outcomes, barriers to access, insurance information, dates of service, and an Alexion-generated patient identification number.
  • Mental and physical characteristics, such as level of fatigue, weight, and slurred speech.
  • Professional or employment-related information, such as employer, title, specialty, employment history, awards and honors, membership in professional organizations, speaking engagements, and affiliations with patient advocacy organizations.
  • Job candidates, selection and recruitment related information, such as name; addresses; email addresses; telephone numbers; social security number; government issued identification number; date of birth; date(s) of hire; title; position(s); work location(s); interview information and notes; employment history; employee termination information; race or ethnic origin; gender; medical certificate issued by accredited and specialized medical professionals, credit history; criminal history; immigration status and other appropriate information, i.e. work permit status; and employer name for contingent/consultant worker.
  • Audio or visual information, such as video recordings if you visit our locations or audio or video recordings of you describing your experience as a patient, caregiver, or HCP.
  • Education information, such as level of education attained, institutions attended, majors and areas of study, and grades.
  • System Account information, such as username and password.
  • Financial information, such as bank account information and amounts paid.
  • Demographic information, such as age, date of birth, and gender.
  • Inferences, such as notes about preferences and aptitudes.
  • Opinions or statements, such as publicly available social media posts containing adverse events or product quality and opinions on Alexion, its products, and indications in public news reports.
  • Internet or other electronic network activity information, such as IP address, country or geographic region location, browser type, device type, operating system, dates, and times you access our services, browsing history, and other information about your interactions with our online services. In addition to the above, we will collect any other information that you provide to us, such as stories about a doctor’s visit, questions related to our diseases and therapies, research interests, and cover letters.

 

WHY WE PROCESS YOUR PERSONAL DATA

We process Personal Data for the business and commercial purposes described in the bullet points below. The laws of certain jurisdictions require that we have a “legal basis” for our processing of Personal Data; where those law apply, we have identified our legal bases in the first-line bullet points, and those legal bases apply only for those jurisdictions.

  • As necessary for our legitimate interests in:
    • Operating and overseeing our business, for example, supporting quality and safety, enabling ethical and compliant business operations, conducting audits and investigations, managing your accounts, providing our products and services, improving and developing new products and services, researching market trends, monitoring service providers, analyzing potential talent, and otherwise administering our business (e.g., providing key functions like human resources, finance, accounting, IT, security, legal, and compliance). For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information, certain health and medical information, education information, and video and audio information (as part of monitoring our compliance with applicable laws and internet or other electronic network activity information to monitor online safety).
    • Understanding customer and stakeholder opinions, for example, identifying business opportunities and gathering and analyzing stakeholder needs, preferences, sentiments, and opinions on Alexion, its products, and indications. For these purposes, we may use identifiers and contact information and opinions or statements.
    • Communicating with you, for example, responding to your inquiries (including unsolicited requests for information about our indications or scientific information), providing you with information we think may interest you, contacting you for your input, and maintaining records of our interactions with you. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information.
    • Promoting our business and research, for example, carrying out marketing and sales activities, measuring the effectiveness of our promotional campaigns, and targeting advertisements on third-party services. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information, professional or employment-related information, inferences, demographic information, and internet or other electronic network activity information.
    • Personalizing our interactions with you, for example, understanding your professional and personal interests and adapting our services to your needs and preferences.     • Protecting rights and interests, for example, protecting the health, safety, and security of Alexion, its employees, patients, caregivers, HCPs, and the general public; enforcing our legal rights; and pursuing remedies or otherwise taking steps to limit damages and liabilities. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information to investigate violations of our contracts or health and medical information in the event of an emergency.
    • Identifying potential talent, for example, reviewing information to identify candidates for our talent pipeline via online or public sources. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information, professional or employment-related information, education information, and demographic information.
  • Pursuant to a contract or pre-entering a contract, for example, negotiating contracts in advance of entering into one and honoring our contractual commitments, such as:
    • Engaging you to provide services on our behalf or as a business partner, for example, engaging with services providers that provide market research services or working with research collaborators. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information and financial information.
    • Providing patient support services, for example, supporting you, assisting you with claims and authorizations, and connecting you with other resources or organizations. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information, health and medical information, and mental and physical characteristics.
    • Providing grants, sponsorships, and other opportunities, for example, offering our access to medicines programs and sponsoring and participating in research, events, and conferences. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information, health and medical information, mental and physical characteristics, professional or employment-related information, education information, and demographic information.
  • With your consent, or if you are a Minor (defined in the “Privacy Statement for Minors” section below), with your or your parent’s or legal guardian’s consent, in order to:
    • Send promotional materials, for example, if you are a patient who enrolls in one of our patient support programs and you have consented to promotional communications. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information.
    • Evaluate job candidates, for example, reviewing your job applications, talking to references, and reviewing information to identify candidates for our talent pipeline. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information, professional or employment-related information, education information, and demographic information, medical certificate as required by local applicable employment law.
    • Share your story with others, for example, when we share patient stories to help our employees and others better understand our patients and their journeys. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information and audio and visual information.
    • Collect information from or about you, for example, when we are legally required to obtain your consent before collecting certain Personal Data (e.g., sensitive information, such as health and medical information and mental and physical characteristics) about you.

As required by law, for example, by:

    • Monitoring pharmacovigilance and product safety, quality, and complaints for ensuring high standards of quality and safety of health care and of medicinal products, for example, providing infrastructure to intake adverse event reports and complaints, maintaining records of such events and complaints, appropriately responding to reports and complaints, and providing appropriate information to regulators. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information, health and medical information, and mental and physical characteristics.
    • Certificate of Vaccination (CoV), for safety and managing purposes related to the use of Alexion products, as legally required, we may be obliged to collect a certificate of vaccination for which we create a corresponding patient identification number. For these purposes, we may use limited types of Personal Data described above, for example, the patient's date of birth and prescribed medication linked to the certificate of vaccination, as well as for health professionals, their names and email address, when submitting the e-COV.     • Complying with transparency requirements, for example, monitoring payments and other transfers of value. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information, professional or employment-related information, and financial information.
    • Monitoring fraud and abuse, for example, investigating potential claims of fraud and abuse. For these purposes, we may use any of the types of Personal Data described above, for example, financial information.
    • Responding to legal process, for example, complying with legal requests from administrative or judicial authorities and complying with subpoenas. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information, professional or employment-related information, and financial information.

Due to the nature of our business, Alexion is subject to a number of legal requirements. As a result, Alexion may be required to process Personal Data, for example, sensitive Personal Data (including health and medical information and mental and physical characteristics), in order to meet these obligations. We will process your Personal Data in accordance with our legal obligations and in a way that protects your privacy to the extent possible, for example, pseudonymizing information, while still complying with our legal obligations.

 

HOW WE SHARE YOUR PERSONAL DATA

Alexion may share your Personal Data in the following ways:

  • With vendors and service providers who work on Alexion’s behalf to provide certain services, for example, entities that provide us with research services, data storage, data analysis and processing, distribution, patient support, IT and data security, and legal services. When we share Personal Data with vendors and service providers, we endeavor to require that they keep your Personal Data confidential and secure and process it for limited and specified purposes.

  • With business partners, for example, researchers with whom we collaborate, companies with whom we co-develop a therapy, companies with whom we co-promote a product or third-party companies managing our in-countries operations.
  • In connection with a business transfer, for example, as part of a sale, assignment, or transfer of an Alexion business or assets, or acquisition of or merger with another entity. We may also share your Personal Data in contemplation of such transactions, such as during due diligence.
  • In response to requests from government or law enforcement agencies or where required or permitted by applicable laws, court orders, or government regulations, for example, in response to a subpoena or regulatory inquiry.
  • To protect rights and interests, for example, when needed for corporate audits, to investigate or respond to a complaint or threat, or to exercise our legal rights.
  • With your consent, for example, when you agree that we can share your Personal Data with an HCP.
 

COOKIES AND OTHER TRACKING TECHNOLOGIES

We automatically process certain types of information whenever you interact with us on our online services and in some emails we may send to you. Automatic technologies we use may include, for example, cookies and web beacons.

  • Cookies: A cookie is a piece of information that is placed on your computer when you access certain websites. The cookie uniquely identifies your browser to the server. Do Not Track (DNT) is a privacy preference that you can set in certain web browsers. Our websites may not recognize or respond to DNT signals, as the industry is currently working toward defining what DNT means and developing a common approach to responding to DNT signals. DATA ANALYTICS

We may use third-party analytics services (such as Google Analytics) on our online services to process information about your use of our online services, for example, knowing which webpage referred you to our services, understanding which pages you visited or usage trends, providing certain features to you, and assisting with fraud prevention. We neither have access to, nor does this Privacy Notice govern, the use of cookies or other tracking technologies that may be placed on your device to access the Services by non-affiliated third parties.     • Automated decisions or analysis (where applicable)

      The way we analyze your personal information for the purposes of risk assessment, fraud prevention, e-recruiting and reporting may involve processing your personal information using software that is able to evaluate your personal aspects and predict risks or outcomes, which may be defined as profiling in some jurisdictions.
      We may make automated decisions about you:

      • Where such decisions are necessary for entering into a contract. For example, we may decide not to offer a role based on information about your educational history, professional qualifications and aptitude testing scores we have collected about them;
      • Where such decisions are required or authorized by law. For example, for fraud prevention purposes; or
      • Where you give your consent to us carrying out automated decision-making.

INTERNATIONAL TRANSFERS

Alexion is an international organization with affiliates and subsidiaries worldwide. Some of these have their registered offices in, or are located in, countries that do not have the same level of data protection as your country. We comply with legal requirements for cross-border data protection, for example, through the use of standard contractual clauses and, in some cases, other transfer mechanism permitted under applicable laws.

 

DATA SECURITY

Alexion has implemented privacy and security controls designed to help protect your Personal Data. Please note, however, that no security measures are 100% effective, and we cannot guarantee absolute security of your Personal Data. We encourage you to take steps to protect yourself, for example, by not sharing login credentials to your accounts, not sending us sensitive information using unsecure methods (e.g., via unencrypted email), and protecting your devices (e.g., with passwords).

 

DATA RETENTION

Alexion retains your Personal Data for as long as necessary for the purpose for which it was collected, unless a longer period is required to comply with applicable laws. Our retention periods vary depending on the purpose(s) for which your data was collected. Some of the criteria we use to assess appropriate retention periods include: (i) the nature of the Personal Data and the activities involved, (ii) when and for how long you interact with Alexion, and (iii) our legal obligations. To provide security and business continuity we make backups of certain data, which we may retain for longer than the original data.

 

PRIVACY STATEMENT FOR MINORS

We may process Personal Data about persons under the age of 18 (“Minors”) with the consent of their parent or guardian for the provision of certain services, such as patient support programs or research activities. We do not, however, knowingly solicit Personal Data from, or market or advertise to, Minors. If we become aware that we have collected Personal Data about a Minor without the consent of his/her parent or guardian, we will take reasonable steps to delete it in accordance with applicable legal requirements. Please contact us as described in the “How to Contact Us” section below to make us aware of Personal Data that we process about a Minor without consent.

We may provide you with links to or information about third-party resources. For example, we provide patients with information about patient advocacy groups, and we provide researchers with links to clinical trial registries. SCOPE OF SUPPLEMENTAL NOTICE

This Supplemental Notice applies solely to consumers residing in California (“you”), including patients, caregivers, healthcare professionals, and job applicants—as well as other individuals with whom we interact, such as visitors to our online services, service providers, business partners, speakers, and investors. This Supplemental Notice complements the Alexion Privacy Notice. Employees and contractors will receive a California Employee & Contingent/Consultant Worker, Privacy Notice as part of onboarding; this Supplemental Notice does not apply to employees and contractors, only job applicants.

 

SOURCES OF PERSONAL DATA

We collect Personal Data in a variety of ways, including:

  • Directly from you, such as through an online webform, when you register for an event, when you enroll in our Alexion programs, when you collaborate with us for research, when you submit a job application, when we communicate with each other, or when you otherwise provide us with your information (e.g., provide a business card).
  • From other people and organizations who are not you, such as healthcare professionals (“HCPs”), patients, references and referral sources, patient advocacy groups, study sites, and data aggregators and management systems.
  • From public sources, such as public databases (e.g., public transparency reporting records), public websites and search results, and publicly available social media pages (e.g., LinkedIn).
  • Automatically, such as through cookies or other technologies that provide us with information about your use of our online services.
 

CATEGORIES OF PERSONAL DATA WE PROCESS AND DISCLOSE

Depending on the nature of our interactions with you in the prior 12 months, we or our Vendors may have collected and processed the following categories of Personal Data about you. We may disclose this Personal Data to Vendors and Third Parties. “Vendor” means a service provider, contractor, or processor as those terms are defined in applicable laws. “Third Party” has the meanings afforded to it in applicable laws.

  • Identifiers, such as real name, postal address, email address, phone number, date of birth, Alexion-generated patient identification number, online identifiers, Internet Protocol (“IP”) address, and other similar identifiers and contact information. We also collect information, such as social security number and government issued identification number from job applicants.
  • Mental and physical characteristics, such as symptoms, level of fatigue, weight, slurred speech, and disability information.
  • Commercial information, such as products or services prescribed or used.
  • Internet or other electronic network activity information, such as browsing history, browser type, device type, operating system, dates and times you access our services, and other information about your interactions with our online services or advertisements.
  • Geolocation data, such as your zip code, if you provide such information to help us provide you with information about events in your area and/or work locations.
  • Audio or visual information, such as video recordings if you visit our locations or audio or video recordings of you describing your experience as a patient, caregiver, or HCP.
  • Professional or employment-related information. For HCPs, we collect data such as employer, title, specialty, employment history, awards and honors, membership in professional organizations, speaking engagements, and affiliations with patient advocacy organizations. For job applicants, we collect data selection and recruitment-related information, such as employment history, interview information and notes, employee termination information, and other appropriate information.
  • Education information, such as level of education attained, institutions attended, majors and areas of study, and grades.
  • Financial information, such as bank account information and amounts paid.
  • Demographic information, such as age and gender.
  • Opinions or statements, such as publicly available social media posts containing adverse events or product quality and opinions on us, our products and indications in public news reports.
  • Inferences, such as notes drawn from any of the Personal Data listed above to create a summary about, for example, an individual’s preferences and characteristics.
  • Sensitive Personal Data, which is a subset of Personal Data that is considered to be more sensitive (e.g., social security number, health information, precise geolocation, racial or ethnic origin, etc.). Sensitive Personal Data does not include aggregate information or information that has been de-identified or anonymized in accordance with applicable laws. For example, Alexion collects Sensitive Personal Data from patients for patient support purposes, such as diagnoses, symptoms, complications, therapies, outcomes, health plan, insurance policy number, barriers to access insurance information, dates of service; and Alexion may collect social security number, racial or ethnic origin, and immigration status from job applicants.

In addition to the above, we will collect any other information that you provide to us, such as stories about a doctor’s visit, questions related to our disease areas and therapies, and research interests.

 

WHY WE PROCESS YOUR PERSONAL DATA

We process all Categories of Personal Data for the following business and commercial purposes:

  • Operating and overseeing our business: for example, supporting quality and safety, enabling ethical and compliant business operations, conducting audits and investigations, providing our products and services, improving and developing new products and services, researching market trends, monitoring Vendors, and otherwise administering our business.
  • Understanding customer and stakeholder opinions, for example, identifying business opportunities and gathering and analyzing stakeholder needs, preferences, sentiments, and opinions on us, our products, and indications.
  • Communicating with you, for example, responding to your inquiries (including unsolicited requests for information about our indications or scientific information), providing you with information that we think may interest you, contacting you for your input, and maintaining records of our interactions with you.
  • Promoting our business and research, for example, carrying out marketing and sales activities, measuring the effectiveness of our promotional campaigns, and targeting advertisements on third-party services.
  • Personalizing our interactions with you, for example, understanding your professional and personal interests and adapting our services to your needs and preferences.
  • Protecting rights and interests, for example, protecting the health, safety, and security of our employees, patients, caregivers, HCPs, and the general public; enforcing our legal rights; responding to legal process; and pursuing remedies or otherwise taking steps to limit damages and liabilities.
  • Identifying potential talent, for example, reviewing information to identify candidates for our talent pipeline via online or public sources.
  • Engaging you to provide services on our behalf or as a business partner, for example, engaging with services providers that provide market research services or working with research collaborators.
  • Providing patient support services, for example, supporting you, assisting you with claims and authorizations, and connecting you with other resources or organizations.
  • Providing grants, sponsorships, and other opportunities, for example, offering our access to medicines programs and sponsoring and participating in research, events, and conferences.
  • Evaluate job candidates, for example, reviewing your job applications, talking to references, and reviewing information to identify candidates for our talent pipeline. For these purposes, we may use any of the types of Personal Data described above, for example, identifiers and contact information, professional or employment-related information, education information, and demographic information, medical certificate as required by local applicable employment law.
  • Share your story with others, for example, when we share patient stories to help our employees and others better understand our patients and their journeys.
  • As required by law, for example monitoring pharmacovigilance and product safety, quality, and complaints; complying with transparency requirements; monitoring fraud and abuse; and responding to legal process.

Alexion uses or discloses Sensitive Personal Data for the following purposes only: providing the products and services you request, as well as improving those offerings; operating and overseeing our business; protecting rights and interests; short-term transient uses; and for purposes that do not infer characteristics about consumers. Alexion uses or discloses Sensitive Personal Data for all the purposes discussed above.

 

HOW WE DISCLOSE YOUR PERSONAL DATA

We may disclose your Personal Data as follows:

  • Vendors and Third Parties may receive the information we collect directly from you, other people and organizations, public sources, and automatically. We may disclose your Personal Data to vendors who work on our behalf to provide certain services, for example, entities that provide us with research services, data storage, data analysis and processing, distribution, patient support, IT and data security, and legal services. We also may disclose your data to our business partners, for example, researchers with whom we collaborate, companies with whom we co-develop a therapy, companies with whom we co-promote a product, or third-party companies managing our in-countries or distribution operations.
  • Our affiliates and subsidiaries (including both the Alexion and AstraZeneca groups of companies) may receive the information we collect directly from you, other people and organizations, public sources, and automatically. For business purposes, we may disclose your Personal Data to, for example, current and future companies within the Alexion family of companies, so we can improve our offerings.
  • We may disclose all of the information we collect in connection with a business transfer or sale, for example, as part of a sale, assignment, or transfer of an Alexion business or asset, or acquisition of or merger with another entity.
  • We also may disclose any of the information we collect in response to requests from government or law enforcement agencies or where required or permitted by applicable laws, court orders, or government regulations, for example, in response to a subpoena or regulatory inquiry.
  • We may disclose all of the information we collect to protect rights and interests, for example, when needed for corporate audits, to investigate or respond to a complaint or threat, or to exercise our legal rights.
  • We may disclose any of the information we collect with your consent, for example, when you agree that we can share your Personal Data with an HCP.

While we do not sell Personal Data as the term “sell” is traditionally understood, our use of tracking technologies may nevertheless be considered a “sale” or “sharing” under California law. In the prior 12 months since this Supplemental Notice took effect, for commercial purposes, we have shared the following categories of Personal Data for cross-context behavioral advertising: “Identifiers” and “Internet or other electronic network activity information”. We have shared such Personal Data for these purposes with advertisers and marketing partners, data analytics providers, and social media networks. You have the right to opt out of such “sale” or “sharing” as described under Your Rights and Choices below.

 

YOUR RIGHTS AND CHOICES

California consumers have certain rights with respect to their Personal Data. You may exercise the rights applicable to you by emailing us at privacy@alexion.com or calling us at +1-844-935-1326. Please note that the rights described below may be subject to limitations under applicable laws and regulations.

Verification of Request: To make your request, you must provide us with your first and last name, email address, city and state of residence, and which of the right(s) described below you are intending to exercise. We will verify your request by comparing the information that you provide as part of your request with the information (if any) that we have about you in identifiable form. We cannot fulfill any requests that are not verified.


Data Subject Rights: You may be entitled, in accordance with applicable law, to request:

  • Access to the specific pieces of Personal Data we have about you or more information about our data processing practices.
  • Deletion of Personal Data that we collected from you.
  • Correction of any inaccurate Personal Data we maintain about you.
  • Opt-Out of the Sale or Sharing of Personal Data for Purposes of Cross-context Behavioral Advertising: Alexion may share Personal Data with third parties to conduct cross-context behavioral advertising. Important information to know about submitting a request: (i) you will need to submit a separate request for each browser and device you use to access Alexion websites; (ii) if you clear cookies, you will need to submit your request again; (iii) exercising this right does not impact Alexion’s ability to send you promotional communications if you previously registered to receive such communications through an Alexion website or service; (iv) communicating your do-not-sell/share preference across our websites relies on your browser supporting cross-site transmissions; and (v) if you would like to opt out of the sharing of your contact information with social media providers, you should email privacy@alexion.com.

Non-Discrimination: We will not discriminate against you for exercising your data subject rights, although some of the functionality and features available on the Service may change or no longer be available to you. Any difference in the Services are related to the value provided.

Use of an Authorized Agent: You may designate an authorized agent to make a request on your behalf by drafting, signing, and authenticating a letter that makes clear (i) the identity of your agent and (ii) the purposes for which you are appointing the agent. If you are an authorized agent, you must provide us with the information described above about the consumer on whose behalf you are acting as an agent, as well as your own first and last name and email address, and a letter that has been signed by the consumer appointing you as an agent. We may require that you verify your identity to us or confirm with us that you provided your agent with permission to submit the request. In some instances, we may decline to honor your request if an exception applies under applicable law. We will respond to your request consistent with applicable law.
